Artificial intelligence (AI) has already made significant inroads into the workplace, taking on tasks such as ad copywriting and customer support. With advancements in AI technology, the idea of corporations managed or owned by AI is no longer far-fetched. However, this raises important legal questions. How would an AI-operated Limited Liability Company (LLC) be treated under the law? How would AI respond to legal responsibilities and consequences? These queries highlight an unprecedented challenge that lawmakers must grapple with – regulating a nonhuman entity with human-level cognitive capabilities.

In an article titled “Artificial intelligence and interspecific law,” Daniel Gervais of Vanderbilt Law School and John Nay of The Center for Legal Informatics at Stanford University delve into the need for more AI research on legal compliance. They argue that the legal system must consider how AI might be governed and built. Contrary to belief, the authors assert that the legal system might be better prepared for AI agents than commonly believed.

Gervais and Nay propose a path to infusing law-following capabilities into AI through the legal training of AI agents and the utilization of large language models (LLMs) for monitoring, influencing, and rewarding them. The authors suggest training AI agents to understand and apply both the “letter” and “spirit” of the law. This way, AI agents can effectively address highly ambiguous or complex scenarios that may necessitate human court opinions. The authors emphasize the importance of monitoring AI agents to prevent harm and shape their behavior within legal boundaries.

While some may argue for a complete halt to AI development, the authors believe this is unlikely in practice. Capitalism’s continuous drive for innovation and the significant financial stakes involved make it improbable to stop AI progress. Moreover, societal stability has traditionally relied on continued growth. Therefore, the authors contend that focusing on regulating AI-operated entities is a more realistic approach.

Gervais and Nay assert that AI’s replacement of most human cognitive tasks is already underway and expected to accelerate. Acknowledging this trend, they emphasize the need for robust legal frameworks and mechanisms to ensure accountability, ethical behavior, and human oversight when AI operates as the owner or manager of an LLC.

As AI becomes more capable and takes on higher-level responsibilities, the legal landscape must adapt. Lawmakers face the challenge of creating a legal framework to govern AI-operated entities effectively. This includes defining legal responsibilities, addressing liability issues, and establishing mechanisms for oversight and monitoring. In doing so, it is essential to strike a balance between encouraging innovation and protecting the interests of society.

The emergence of AI-operated LLCs presents a unique challenge for lawmakers. To tackle this challenge effectively, research on AI’s legal compliance and the development of suitable legal frameworks are crucial. While there are no easy solutions, it is evident that AI’s cognitive capabilities demand a thorough examination of its legal implications. By proactively addressing these issues, society can harness the full potential of AI while ensuring accountability and human control.
